DOCKHAND LICENSE TERMS AND CONDITIONS

IMPORTANT: PLEASE READ THESE LICENSE TERMS CAREFULLY BEFORE USING DOCKHAND.
BY INSTALLING, COPYING, OR OTHERWISE USING DOCKHAND, YOU AGREE TO BE BOUND
BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT
INSTALL OR USE THE SOFTWARE.

1. DEFINITIONS

1.1 "Software" means the Dockhand application, including all associated
    documentation, updates, upgrades, and modifications provided by Finsys.

1.2 "Finsys" means Finsys Jaroslaw Krochmalski, a business entity registered
    in Poland with VAT ID: PL7121835977 and REGON: 061576391, located at
    ul. Borki 6, 05-119 Jozefow, Poland.

1.3 "Free Edition" means the version of the Software that includes Core
    Features and is available without payment.

1.4 "Enterprise Edition" means the version of the Software that includes
    Enterprise Features and requires a valid paid license.

1.5 "Core Features" include container management, Docker Compose stack
    management, image management, container logs and terminal access,
    file and volume browsing, multi-environment support (including Hawser
    agent), network and volume management, activity tracking, authentication
    (OIDC/SSO and local users), and the standard user interface.

1.6 "Enterprise Features" include LDAP/Active Directory integration,
    multi-factor authentication (MFA), role-based access control (RBAC)
    with environment scoping, user profiles with avatar management,
    audit logging, and priority support.

1.7 "Commercial Use" means the use of the Software for revenue-generating
    activities, business operations, or production environments by a
    for-profit entity.

1.8 "Production Environment" means any environment where the Software is
    used to manage workloads that support business operations, are accessible
    to end-users, or where system downtime would impact business continuity.

1.9 "Permitted Professional Use" means the individual use of the Free Edition
    by an employee or contractor of a Commercial entity, provided that:
    (a) The Software is installed locally on the user's workstation;
    (b) The Software is used exclusively for development, testing, evaluation,
        or local container management;
    (c) The Software is NOT used to manage Production Environments;
    (d) The Enterprise Features (e.g., LDAP, RBAC) are not required.

1.10 "Non-Commercial Use" means use of the Software exclusively for:
    (a) Personal or hobbyist projects by individuals not acting on behalf
        of a for-profit entity;
    (b) Non-profit organizations as defined by applicable law;
    (c) Educational institutions including schools, colleges, and
        universities for teaching, learning, or academic research; or
    (d) Research institutions conducting non-commercial research.

1.11 "License Key" means the unique cryptographic key provided by Finsys
    that enables Enterprise Features.

1.12 "License Term" means the annual subscription period during which the
     License Key remains valid.


2. LICENSE GRANT

2.1 Free Edition License

Subject to the terms of this Agreement, Finsys grants you a non-exclusive,
non-transferable, revocable license to install and use the Free Edition of
the Software for Non-Commercial Use and Permitted Professional Use. This
license permits unlimited installations for qualifying uses.

2.2 Enterprise Edition License

Subject to payment of applicable license fees and the terms of this
Agreement, Finsys grants you a non-exclusive license to install and use
the Enterprise Edition of the Software, including Enterprise Features,
for the duration of the License Term. The Enterprise Edition license
permits Commercial Use and includes all Core Features and Enterprise
Features.

2.3 Scope of Use

(a) Non-Commercial Users may use the Free Edition without payment or
    registration for unlimited installations.

(b) Commercial Users generally require an Enterprise Edition license for
    Production Environments or shared use, unless the Permitted Professional
    Use exemption (Section 3.1) applies.

(c) Each Enterprise Edition license is valid for the specific installation
    identified in the License Key, unless otherwise specified.


3. COMMERCIAL USE REQUIREMENT

3.1 License Requirement

(a) Enterprise License Required: An Enterprise Edition license is mandatory
    for any installation that:
    (i)  Makes use of Enterprise Features;
    (ii) Is deployed in a Production Environment; or
    (iii) Is used as a shared instance accessed by multiple users within
          a Commercial entity.

(b) Permitted Professional Use Exemption: Individuals working for Commercial
    entities may use the Free Edition without payment for Permitted
    Professional Use (as defined in Section 1.9). This exemption is intended
    to support individual developers, DevOps engineers, and evaluators.

3.2 Grace Period for Compliance

If a Commercial User is found to be using the Software in violation of
Section 3.1 (e.g., using Free Edition in a Production Environment), Finsys
will provide written notice and a thirty (30) day grace period to purchase
an appropriate license. If the Commercial User fails to obtain a valid
license within this grace period, all rights under this Agreement shall
terminate immediately.

3.3 Verification

Finsys reserves the right to request reasonable verification of Non-
Commercial Use or Permitted Professional Use status. Users claiming these
statuses must provide reasonable documentation upon request to verify
eligibility.


4. LICENSE TERM AND RENEWAL

4.1 Subscription Period

Enterprise Edition licenses are provided on an annual subscription basis.
The License Term begins on the date of license activation and continues
for twelve (12) months unless renewed.

4.2 Renewal

License renewal is not automatic. You must purchase a renewal license
before the expiration of the current License Term to maintain access to
Enterprise Features.

4.3 Expiration Effects

Upon expiration of an Enterprise Edition license:
(a) Enterprise Features will be automatically disabled;
(b) The Software will continue to function with Core Features only
    (equivalent to the Free Edition);
(c) All data, configurations, and settings will be preserved;
(d) You may continue using Core Features subject to the applicable license
    terms (Commercial Users must renew or cease use of Production
    Environments).

4.4 No Refunds

All license fees are non-refundable except as required by applicable law
or at Finsys's sole discretion.


5. LICENSE TRANSFER AND ASSIGNMENT

5.1 Reassignment

You may transfer a valid Enterprise Edition license to a different installation
within your organization (e.g., hardware upgrade, migration), provided that:
(a) The Software is completely removed from the original installation;
(b) The total number of active installations does not exceed the number of
    purchased licenses;
(c) You update the License Key configuration in the new installation.

5.2 Transfer to Third Parties (Business Continuity)

You may transfer the Enterprise Edition license to a third party strictly in
connection with a merger, acquisition, corporate reorganization, or sale of
all or substantially all of your assets. In such cases, you must provide
written notice to Finsys at [enterprise@dockhand.pro] within thirty (30) days
of the transfer, detailing:
(a) The legal name of the new license holder (assignee);
(b) Updated contact information for support and billing;
(c) A written confirmation from the assignee accepting the terms of this Agreement.

5.3 Resale Prohibition

Except as set forth in Section 5.2, you may not resell, lease, sublicense,
or otherwise transfer License Keys to third parties on a standalone basis
without prior written consent from Finsys.


6. RESTRICTIONS

You shall NOT:

6.1 Distribute, sublicense, lease, rent, or otherwise transfer the Software
    or License Keys to any third party except as expressly permitted;

6.2 Reverse engineer, decompile, disassemble, or attempt to derive the
    source code of the Software, except to the extent expressly permitted
    by applicable law;

6.3 Remove, alter, or obscure any proprietary notices, labels, or marks
    on the Software;

6.4 Use the Software to develop a competing product or service;

6.5 Share, publish, or distribute License Keys;

6.6 Circumvent or attempt to circumvent any license enforcement mechanisms;

6.7 Use the Software in violation of any applicable laws or regulations;

6.8 Misrepresent your eligibility for Non-Commercial or Permitted Use.


7. INTELLECTUAL PROPERTY

7.1 Ownership

The Software and all copies thereof are proprietary to Finsys and title
thereto remains exclusively with Finsys. All rights in the Software not
specifically granted in this Agreement are reserved to Finsys.

7.2 Trademarks

"Dockhand," "Finsys," and associated logos are trademarks of Finsys.
This Agreement does not grant any rights to use such trademarks.

7.3 Feedback

Any suggestions, ideas, enhancement requests, or other feedback you
provide regarding the Software may be used by Finsys without obligation
to you.


8. DATA AND PRIVACY

8.1 Local Data Storage

The Software stores all data locally on your infrastructure. No data is
transmitted to Finsys servers. Finsys does not collect, access, or
process any data stored in your Software installation.

8.2 No Telemetry

The Software does not include any telemetry, analytics, or data
collection features. The Software is fully self-contained and operates
entirely within your infrastructure.

8.3 Your Responsibility

You are solely responsible for the security, backup, and protection of
all data stored in your Software installation. See our Privacy Policy
for additional information.


9. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FINSYS DOES NOT WARRANT THAT:
(a) THE SOFTWARE WILL MEET YOUR REQUIREMENTS;
(b) THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
(c) THE RESULTS OBTAINED FROM USE OF THE SOFTWARE WILL BE ACCURATE OR
    RELIABLE;
(d) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED;
(e) THE SOFTWARE WILL BE COMPATIBLE WITH YOUR HARDWARE, SOFTWARE, OR
    NETWORK ENVIRONMENT.

YOU ACKNOWLEDGE THAT THE SOFTWARE IS USED TO MANAGE DOCKER CONTAINERS
AND RELATED INFRASTRUCTURE, AND THAT IMPROPER USE OR SOFTWARE DEFECTS
COULD RESULT IN DATA LOSS, SYSTEM DAMAGE, OR SECURITY VULNERABILITIES.
YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SOFTWARE.


10. LIMITATION OF LIABILITY

10.1 No Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
FINSYS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE
LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

(a) DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
    DAMAGES;
(b) DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE;
(c) DAMAGES FOR BUSINESS INTERRUPTION;
(d) DAMAGES FOR LOSS OF GOODWILL;
(e) DAMAGES ARISING FROM SECURITY BREACHES, UNAUTHORIZED ACCESS, OR
    DATA CORRUPTION;
(f) DAMAGES ARISING FROM SYSTEM FAILURES, DATA LOSS, OR CONTAINER
    MANAGEMENT ERRORS;
(g) DAMAGES ARISING FROM BUGS, DEFECTS, OR ERRORS IN THE SOFTWARE;
(h) DAMAGES ARISING FROM YOUR USE OR MISUSE OF THE SOFTWARE;
(i) DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR INTEGRATIONS;
(j) COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;

ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR
INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY
(CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN
IF FINSYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Absolute Limitation

IF, NOTWITHSTANDING THE FOREGOING, FINSYS IS FOUND LIABLE FOR ANY DAMAGES,
THE TOTAL AGGREGATE LIABILITY OF FINSYS SHALL NOT EXCEED THE AMOUNT YOU
PAID FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE
CLAIM, OR ONE HUNDRED EUROS (EUR 100), WHICHEVER IS LESS.

10.3 Essential Basis

THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL BASIS OF
THE BARGAIN BETWEEN YOU AND FINSYS. FINSYS WOULD NOT PROVIDE THE SOFTWARE
WITHOUT THESE LIMITATIONS.


11. SUPPORT AND MAINTENANCE

11.1 Best Effort Support

Finsys will make commercially reasonable best efforts to address reported
bugs and issues in the Software. However, Finsys makes no guarantees
regarding:
(a) Response times for support requests;
(b) Resolution of any particular bug or issue;
(c) Availability of updates, patches, or new versions;
(d) Compatibility with future operating systems, Docker versions, or
    other software.

11.2 Support Channels

All support requests, license inquiries, and general questions should

11.3 No Service Level Agreement

Unless separately agreed in writing, no service level agreement (SLA)
is included with any license.


12. TERMINATION

12.1 Termination for Breach

Finsys may terminate this Agreement immediately upon written notice if
you breach any term of this Agreement.

12.2 Termination for Convenience

Either party may terminate this Agreement for convenience upon thirty
(30) days written notice.

12.3 Effect of Termination

Upon termination:
(a) All rights granted under this Agreement shall immediately cease;
(b) You must cease all use of the Software;
(c) You must delete all copies of the Software;
(d) License fees paid are non-refundable unless required by applicable law.

12.4 Survival

Sections 6, 7, 9, 10, 14, and 15 shall survive any termination of this
Agreement.


13. OPEN SOURCE COMPONENTS

The Software incorporates open source components licensed under various
open source licenses. The following is a list of major open source
dependencies and their respective licenses:

- SvelteKit: MIT License
- Svelte: MIT License
- Dockerode: Apache License 2.0
- xterm.js: MIT License
- Drizzle ORM: Apache License 2.0
- Tailwind CSS: MIT License
- shadcn-svelte: MIT License
- Lucide Icons: ISC License

The above list is not exhaustive. Additional open source components and
their licenses may be found in the Software's package manifest files.

Your use of these open source components is governed by their respective
licenses. Nothing in this Agreement limits your rights under, or grants
you rights that supersede, the terms of any applicable open source license.

The source code for open source components is available from their
respective project repositories.


14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

This Agreement shall be governed by and construed in accordance with the
laws of Poland, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising out of or relating to this Agreement shall be
subject to the exclusive jurisdiction of the courts located in Warsaw,
Poland. You hereby consent to the personal jurisdiction of such courts
and waive any objections to venue.

14.3 Language

This Agreement is drafted in English. In case of any discrepancy between
the English version and any translation, the English version shall prevail.


15. GENERAL PROVISIONS

15.1 Entire Agreement

This Agreement constitutes the entire agreement between you and Finsys
regarding the Software and supersedes all prior or contemporaneous
understandings or agreements, written or oral, regarding the Software.

15.2 Amendment

Finsys reserves the right to modify this Agreement at any time. Material
changes will be communicated through the Software or the Dockhand website.
Continued use of the Software after such notification constitutes
acceptance of the modified terms.

15.3 Severability

If any provision of this Agreement is held to be unenforceable, such
provision shall be reformed only to the extent necessary to make it
enforceable, and the remaining provisions shall remain in full force
and effect.

15.4 Waiver

The failure of Finsys to exercise or enforce any right or provision of
this Agreement shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer this Agreement or any rights granted
hereunder without the prior written consent of Finsys, except as explicitly
provided in Section 5. Finsys may assign this Agreement without restriction.

15.6 Independent Contractors

The parties are independent contractors. Nothing in this Agreement
creates a partnership, joint venture, or agency relationship.

15.7 Export Compliance

You agree to comply with all applicable export and import laws and
regulations in connection with your use of the Software.
